Offer Terms and Conditions
Below are the terms and conditions of this offer (Offer Terms). By clicking “I AGREE” above, you confirm your acceptance of these Offer Terms.
1.
You and your Agency Clients may keep using the Content you downloaded from our Sites before your Agency Membership was cancelled (Current Content). Neither you nor your Agency Clients will have access to any new Content. If you or any Agency Client wants to download new Content from our Sites, you or they will need to purchase a new Membership from us.

Your right and the right of your Agency Clients to use the Current Content will be subject to the Standard Licence under our Licence Terms and Conditions, as modified under these Offer Terms. Click here for details of our Licence Terms and Conditions.

You must provide copies of our Licence Terms and Conditions and these Offer Terms to each Agency Client who wishes to continue using the Current Content.

If we have agreed with you in writing that the rights granted under these Offer Terms will apply only to particular Agency Clients, then the rights granted to your Agency Clients under these Offer Terms will be limited to just those particular Agency Clients. For all other Agency Clients, clauses 10.5(b) and 10.6 of our Licence Terms and Conditions will continue in full force on the basis that you have terminated your Agency Membership.

The rights of an Agency Client to use the Current Content under these Offer Terms only apply to Current Content made available to that Agency Client before the date your Agency Membership was cancelled.

You will retain all of your Agency Membership rights and obligations under the Standard Licence in relation to the Current Content, as if your Agency Membership had not been cancelled. The only exceptions are as set out in these Offer Terms.

You may be required by us to pay a one-off additional licence fee when you accept this offer. This is the only amount you have to pay to enable you and your Agency Clients to keep using the Current Content under the Standard Licence. You will not have to pay any ongoing Membership Fees.

Nothing in these Offer Terms will give you or any Agency Client any rights to use the Current Content for any purpose other than as permitted under the Standard Licence. If you or any Agency Client wants additional rights of use for that Current Content, you or they will need to contact us and we can then discuss your or their requirements.

The Standard Licence granted to you and your Agency Clients under these Offer Terms will continue in perpetuity and will not expire (despite any provision to the contrary in our Licence Terms and Conditions), so long as:
(a)
you pay the one-off additional licence fee (if any) required by us when you accept this offer; and
(b)
you and each Agency Client complies in full with our Licence Terms and Conditions and these Offer Terms, in relation to your or their use of the Current Content.

If you fail to do any of the things required in paragraph 9 above, your licence to use the Current Content will terminate immediately upon written notice by us to you. Additionally, if any Agency Client fails to comply in full with our Licence Terms and Conditions in relation to their use of the Current Content, or any of these Offer Terms applicable to that Agency Client, that Agency Client’s licence to use the Current Content will terminate immediately upon written notice by us to you or that Agency Client. If we terminate your licence, or the licence granted to any Agency Client, you or that Agency Client (as the case may be) must comply with clause 10.6 of our Licence Terms and Conditions.

In these Offer Terms, capitalised terms have the meanings given to them in our Licence Terms and Conditions, unless the context otherwise requires.
